| When you see a 144 "planned sale or
"intent to sell" notice it means
that this is NOT necessarily a sale but rather
the filing by a person that has held a restricted
stock for at least one year (but not yet for
the two years where they could have free trading
stock) to have the restrictive legend removed
for a period of ninety days. This allows them
an opportunity for a ninety-day period to
consider selling their shares should they
elect to. If they don't sell, the legend is
re-attached to their shares at the end of
the ninety days. The dollar proceeds indicated
on the 144 form are the projected proceeds
if the stock is sold, based on the share price
on the date the 144 form is filed. The person,
if they sell, may make more or less than this
